Terms of Service

These Terms of Service ("Terms") govern your use of Trade2Base, a software-as-a-service platform operated by Trade2Base Ltd ("Trade2Base", "we", "us" or "our"). By creating an account or using the service you agree to be bound by these Terms. If you do not agree, do not use the service.
1.Eligibility and account registration
- You must be at least 18 years old and have legal capacity to enter into a binding contract.
- You must provide accurate, current and complete information when creating your account.
- You are responsible for maintaining the confidentiality of your password and for all activity under your account.
- You must notify us immediately at support@trade2base.com if you suspect unauthorised access to your account.
- You may not create accounts on behalf of others without their authorisation, or share login credentials between multiple people unless you have purchased a plan that includes multiple user seats.
2.Subscription and payment
- Trade2Base is a subscription service billed monthly or annually (where offered) in advance.
- All prices are shown excluding VAT. VAT at the prevailing UK rate will be added at checkout for UK businesses.
- Payments are processed by Stripe. By providing payment details you authorise Stripe to charge your card on the applicable billing date.
- If a payment fails, we will retry up to three times over 7 days. If payment remains outstanding we may suspend your account until payment is received.
- We may increase subscription prices. We will give you at least 30 days' written notice of any price increase. Continued use after the new prices take effect constitutes acceptance.
- Plan upgrades take effect immediately; you will be charged a pro-rated amount for the remainder of your current billing period. Plan downgrades take effect at the end of the current billing period.
3.Free trial
- New accounts receive a 7-day free trial of the plan features available on the selected plan.
- No payment method is required to start a trial. At the end of the trial period, you must add payment details to continue. Failing to do so will result in your account being downgraded to a restricted free tier or deactivated.
- We reserve the right to limit, modify or remove the free trial offer at any time.
- One free trial per person or business. Creating multiple accounts to extend a trial is not permitted.
4.Cancellation and refunds
- You may cancel your subscription at any time from the Billing section of your account settings or by emailing support@trade2base.com.
- Cancellation takes effect at the end of your current billing period. You will retain access to the service until that date.
- We do not offer pro-rated refunds for partial billing periods except where required by law.
- If you cancel within 14 days of your first paid subscription payment and have not used the service to send real customer communications or process payments, you may request a full refund under the UK Consumer Contracts Regulations 2013 by emailing us within 14 days.
- After cancellation, you have 30 days to export your data before it is permanently deleted.
5.Permitted use and restrictions
You may use Trade2Base only for lawful business purposes. You agree not to:
- Use the platform to send spam, unsolicited messages or communications that violate the Privacy and Electronic Communications Regulations (PECR) or similar laws
- Upload content that infringes third-party intellectual property rights
- Attempt to reverse-engineer, decompile or access the source code of the platform
- Use automated bots or scrapers to extract data at scale
- Store or process data that constitutes special category data under UK GDPR (health, biometrics, etc.) without a separate written agreement with us
- Resell or sublicense access to Trade2Base without our written permission
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Use the service in a way that could damage, overburden or impair Trade2Base's infrastructure
6.Your data and content
- You retain full ownership of all data you upload or create in Trade2Base (customer records, jobs, quotes, invoices, messages, files and photos).
- You grant Trade2Base a limited, non-exclusive licence to store, process and display your data solely for the purpose of providing the service to you.
- You are responsible for ensuring you have the legal right to upload and store any third-party content (such as your customers' personal data) and for complying with your own data protection obligations.
- We will not sell, share or use your data for advertising or marketing purposes except as described in our Privacy Policy.
- You can export all your data at any time. See our Privacy Policy for retention details after cancellation.
7.AI-generated content
- Trade2Base uses OpenAI to generate draft content including quotes, ad copy, customer replies, job summaries and campaign briefs.
- All AI-generated content is a draft and must be reviewed and approved by you before sending to customers or publishing. You are solely responsible for any content you send using Trade2Base.
- AI outputs may contain errors, inaccuracies or inappropriate suggestions. Do not rely on AI for safety-critical, legally binding or regulated content without professional review.
- We do not guarantee the accuracy, completeness or fitness for purpose of AI-generated content.
- Prompts you submit to the AI assistant may be sent to OpenAI. By using the AI features you consent to this. We encourage you not to include sensitive personal data (such as national insurance numbers or medical information) in prompts.
8.Third-party integrations
- Trade2Base integrates with third-party services including Meta, Google, TikTok, Stripe, Twilio and Mailhaus. Use of these integrations is subject to those providers' own terms and privacy policies.
- We are not responsible for the actions, availability or accuracy of third-party services. Disruption to a third-party service does not entitle you to a refund or service credit.
- When you connect an advertising account (e.g. Meta Ads), you authorise Trade2Base to read campaign performance data on your behalf. We will not make purchases, create campaigns or spend your ad budget without your explicit instruction within the platform.
- Mailhaus direct mail services are provided by Mailhaus Ltd under their own terms. Trade2Base is not liable for the delivery, content or outcomes of direct mail campaigns.
9.Uptime and support
- We target 99.9% monthly uptime for Business plan subscribers and 99.5% for Starter and Pro plan subscribers, excluding scheduled maintenance windows.
- Scheduled maintenance will be announced at least 24 hours in advance and typically takes place outside UK business hours.
- Support is provided by email for all plans. Business plan subscribers also have access to phone support during UK business hours (Mon–Fri, 09:00–17:30 GMT).
- We aim to respond to support queries within 1 business day (Pro and Business) or 3 business days (Starter).
10.Intellectual property
- Trade2Base, its logo, name, software, design and documentation are the intellectual property of Trade2Base Ltd and are protected by UK and international intellectual property laws.
- Nothing in these Terms transfers any intellectual property rights in the platform to you.
- We may use your business name and logo for reference purposes (e.g. on our website as a customer) unless you ask us not to in writing.
11.Confidentiality
Each party agrees to keep the other party's confidential information (including business data, product roadmap, pricing and API keys) confidential and not to disclose it to third parties without prior written consent, except where required by law. This obligation survives termination of these Terms for 3 years.
12.Warranties and disclaimers
- We warrant that we will provide the service with reasonable skill and care.
- The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
- We do not warrant that the service will be uninterrupted, error-free or free of harmful components, or that results obtained through the service will be accurate or reliable.
- Nothing in these Terms excludes liability that cannot be excluded under English law, including liability for death or personal injury caused by our negligence, fraud or misrepresentation.
13.Limitation of liability
- To the fullest extent permitted by law, Trade2Base's total aggregate liability for any claims arising under or in connection with these Terms will not exceed the greater of: (a) the total fees paid by you in the 3 months preceding the claim, or (b) £500.
- We will not be liable for: loss of profits, loss of revenue, loss of business, loss of anticipated savings, loss of goodwill, data loss or corruption, indirect, special or consequential loss.
- These limitations apply regardless of the form of action (contract, tort, including negligence, or otherwise).
14.Indemnification
You agree to indemnify and hold harmless Trade2Base Ltd, its directors, employees and contractors from and against any claims, damages, losses and expenses (including reasonable legal fees) arising from: (a) your use of the service in breach of these Terms; (b) your violation of any applicable law or regulation; (c) your infringement of any third-party rights; or (d) content you submit to the platform.
15.Changes to the service or these Terms
- We may modify these Terms at any time. Material changes will be communicated by email at least 14 days before they take effect.
- Continued use of the service after the effective date of revised Terms constitutes acceptance of those Terms.
- We may add, modify or remove features from the service at any time. We will endeavour to give reasonable notice of significant feature removals.
16.Termination
- You may terminate your account at any time by cancelling your subscription (see Section 4) and requesting account deletion.
- We may suspend or terminate your account immediately if: you breach these Terms materially and fail to remedy the breach within 7 days of written notice; you use the service fraudulently; you fail to pay fees after the retry period; or we are legally required to do so.
- On termination all licences granted to you under these Terms cease immediately. You must stop using the service and delete any downloaded data you are not permitted to retain.
- Sections relating to intellectual property, confidentiality, warranty disclaimers, limitation of liability, indemnification and governing law survive termination.
17.Governing law and disputes
- These Terms are governed by the laws of England and Wales.
- Any disputes arising from these Terms will first be attempted to be resolved informally by contacting us at support@trade2base.com.
- If informal resolution fails, disputes will be subject to the exclusive jurisdiction of the courts of England and Wales, except where you have statutory rights to bring proceedings elsewhere.
18.Miscellaneous
- Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Trade2Base regarding the service and supersede all prior agreements.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of future rights to enforce that provision.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition or sale of assets.
- Force majeure: Neither party will be liable for failure to perform obligations due to circumstances beyond their reasonable control (including natural disasters, war, government action, internet outages).
